Interior Design Agreement This Interior Design Agreement ("Agreement") is made and entered into on 23rd June 2025 between: Client: Ron & Jackie Palmer Personal Address: 10 Thistle Court, Newport, QLD 4020 Designer: Imprint Home Designs Pty Ltd Company Address: 2996 Logan Rd, Underwood, QLD 4119 The Client desires to engage the Designer to provide interior design services for their property located at 10 Thistle Court, Newport, Qld 4020. The Designer agrees to provide such services in accordance with the terms and conditions set forth in this Agreement. 1. Scope of Services The Designer agrees to provide the following interior design services for the Property (the “Services”): a) Initial consultation to understand the Client’s needs, preferences, and goals for the design project. b) Creation of a design concept, including colour schemes, furniture selection, layout, and overall aesthetic. c) Preparation of inspirational images, design drawings, and material selections. d) Sourcing and purchasing of furniture, fixtures, and accessories (if applicable). e) Coordination with contractors, suppliers, and any other third-party service providers to organise the delivery of products to the client’s house as needed. On-site supervision of installation and furniture delivery will not be included unless noted otherwise. f) Any other services as mutually agreed upon by both parties in writing. 2. Term of Agreement This Agreement shall commence on the date first written above and continue until the completion of the Services, unless terminated earlier in accordance with the terms of this Agreement. 3. Compensation a) Design Concept Work: The Client agrees to pay the Designer $75 per hour for design concept work, development, inspiration boards, drawings, and material selections unless noted otherwise. b) Furniture Orders: The Client agrees to pay for furniture, fixtures, and accessories as ordered by the Designer, with a 20% markup of these items to cover the designer’s consultancy fee. c) Payment shall be made as follows: • An initial deposit of 50% of the quote due upon execution of this Agreement. • A final payment of the remainder amount after invoice is issued upon completion of the project, before purchase of items, final delivery and/or installation. d) The Designer shall submit invoices for all services provided and materials purchased. The Client agrees to pay each invoice within 7 days of receipt and understands no purchase of items will be provided by Designer until full payment of each invoice is received. 4. Additional Costs Any additional costs, including but not limited to materials, shipping, or contractor fees, shall be approved by the Client before incurring and will be billed separately. 5. Changes and Revisions Any changes or revisions to the original design or scope of services must be agreed upon in writing by both the Client and Designer. Additional fees may apply for changes beyond the original scope. 6. Responsibilities of the Client The Client agrees to: a) Provide access to the Property for design consultations and installation as necessary. b) Ensure that the Property is prepared for design work, including any necessary cleaning, repairs, or preparation of the space. c) Provide timely feedback and approval for design concepts, selections, and project phases. d) Pay invoices in accordance with the payment terms outlined in Section 3. 7. Designer’s Responsibilities The Designer agrees to: a) Perform the Services in a professional and timely manner. b) Communicate regularly with the Client regarding project status and any issues that arise. c) Comply with all relevant laws and regulations during the design process. 8. Termination Either party may terminate this Agreement upon written notice to the other party. In the event of termination, the Client agrees to pay for all services and expenses incurred up to the date of termination. 9. Ownership of Work All designs, drawings, plans, and materials created or acquired by the Designer for the Client remain the property of the Designer until full payment is received. Upon full payment, the Client will obtain ownership of all final design work and materials created or supplied specifically for the project. 10. Confidentiality Both parties agree to maintain confidentiality regarding all proprietary information related to the project. 11. Dispute Resolution In the event of any dispute arising out of or in connection with this Agreement, the parties agree to attempt to resolve the dispute through informal negotiations. If the dispute cannot be resolved informally, the parties agree to resolve the matter through mediation before pursuing any legal action. 12. Governing Law This Agreement shall be governed by and construed in accordance with the laws of Queensland, Australia. 13. Entire Agreement This Agreement contains the entire understanding between the parties. Any amendments or modifications must be made in writing and signed by both parties. 14.
